End User License Agreement (EULA)

This End User License Agreement ("EULA") is a legal agreement between you ("Licensee", "you", or "your") and Crater Crash Studios, LLC, doing business as Rockweed Labs ("Rockweed Labs", "we", "us", or "our") for the use of Rockweed Labs Premium Plugins and Extensions (collectively, "Premium Software" or "Premium Plugins").

By purchasing, downloading, installing, or using any Premium Software, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not purchase, download, install, or use the Premium Software.

Premium Software: Refers to all proprietary plugins, extensions, and add-ons developed by Rockweed Labs for VoidPress, VoidDocs, VoidDesk, and other Rockweed Labs products, available for purchase under a commercial license.

License: The right granted to you to use the Premium Software in accordance with the terms of this EULA.

Subscription: A recurring payment arrangement (monthly or yearly) that maintains your active License.

Site: A single website installation or instance where the Premium Software is activated.

Subject to the terms and conditions of this EULA and payment of applicable fees, Rockweed Labs grants you a limited, non-exclusive, non-transferable, revocable license to:

• Download and install the Premium Software
• Use the Premium Software on up to three (3) websites that you own or control
• Receive updates and bug fixes during your active Subscription period
• Access technical support during your active Subscription period

This License is personal to you and may not be transferred, assigned, or sublicensed to any other person or entity without our prior written consent.

Your License permits installation and activation of the Premium Software on a maximum of three (3) Sites simultaneously. The Sites must be owned or controlled by you, the Licensee.

If you wish to use the Premium Software on a different Site after reaching the three-Site limit, you must first deactivate the Premium Software on one of your existing installations before activating it on a new Site.

Installing or activating the Premium Software on more than three (3) Sites simultaneously constitutes a material breach of this EULA and may result in immediate termination of your License.

4.1. Subscription Basis: Premium Software is licensed on a subscription basis, available as either monthly or yearly billing cycles as selected at the time of purchase.

4.2. Pricing: Subscription pricing is determined at the time of purchase and is displayed on our website and during checkout. Prices are subject to change, but any price changes will only apply to renewals and will be communicated to you before your next billing cycle.

4.3. Automatic Renewal: Your Subscription will automatically renew at the end of each billing cycle (monthly or yearly) unless you cancel prior to the renewal date. You will be charged the then-current subscription fee for the Premium Software.

4.4. Cancellation: You may cancel your Subscription at any time through your account dashboard or by contacting us at [email protected]. Cancellation will take effect at the end of your current billing period. No refunds will be provided for partial subscription periods.

4.5. Payment Processing: All payments are processed securely through our payment processor, Paddle. By subscribing, you agree to Paddle's terms and conditions.

5.1. Updates: During your active Subscription period, you are entitled to receive all updates, bug fixes, and new versions of the Premium Software. Updates may include new features, improvements, and security patches.

5.2. Support: Active Subscribers receive technical support through our designated support channels as outlined on our website. Support is provided during our normal business hours and is subject to our support policies.

5.3. Expired Subscriptions: If your Subscription expires or is cancelled, you will no longer receive updates or support. The Premium Software will continue to function with the last version you received, but we do not guarantee continued compatibility with future versions of our core products or third-party software.

You may NOT:

• Install or activate the Premium Software on more than three (3) Sites simultaneously
• Distribute, sell, lease, rent, lend, or sublicense the Premium Software to any third party
• Share your license key or account credentials with others
• Remove, alter, or obscure any copyright notices, branding, or proprietary markings from the Premium Software
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Premium Software
• Modify, adapt, translate, or create derivative works based on the Premium Software
• Use the Premium Software for any illegal, harmful, or unauthorized purpose
• Use the Premium Software in a way that violates our Terms and Conditions or Community Guidelines
• Circumvent or disable any licensing, authentication, or security mechanisms in the Premium Software

The Premium Software, including all code, documentation, graphics, and related materials, is the exclusive property of Crater Crash Studios, LLC d/b/a Rockweed Labs and is protected by United States and international copyright, trademark, and other intellectual property laws.

This EULA grants you a license to use the Premium Software; it does not grant you any ownership rights. All rights not expressly granted to you in this EULA are reserved by Rockweed Labs.

The Rockweed Labs name, logo, and all related product names, trademarks, and service marks are the property of Rockweed Labs and may not be used without our prior written permission.

The Premium Software may include or rely upon open source software components. Such open source components are licensed under their respective open source licenses and are not subject to the terms of this EULA. Information about open source components, if any, will be included in the Premium Software documentation or license files.

Note: This EULA applies only to Premium Software. Rockweed Labs' open source products (such as the core versions of VoidPress, VoidDocs, and VoidDesk) are licensed separately under the Apache License 2.0 and are not subject to this EULA.

THE PREMIUM SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Rockweed Labs does not warrant that:

• The Premium Software will meet your specific requirements
• The Premium Software will be uninterrupted, timely, secure, or error-free
• The results obtained from using the Premium Software will be accurate or reliable
• Any errors in the Premium Software will be corrected
• The Premium Software will be compatible with all third-party software, plugins, or systems

You acknowledge that you use the Premium Software at your sole risk. We recommend maintaining regular backups of your data and testing the Premium Software in a development environment before deploying to production.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CRATER CRASH STUDIOS, LLC D/B/A ROCKWEED LABS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use the Premium Software
• Any unauthorized access to or alteration of your data
• Any bugs, viruses, or harmful code that may be transmitted through the Premium Software
• Any errors, mistakes, or inaccuracies in the Premium Software
• Personal injury or property damage resulting from your use of the Premium Software
• Any interruption or cessation of the Premium Software

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF ROCKWEED LABS AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS RELATING TO THE PREMIUM SOFTWARE WILL BE LIMITED TO THE AMOUNT YOU PAID FOR THE PREMIUM SOFTWARE IN THE TWELVE (12) MONTHS PRIOR TO THE FIRST EVENT OR OCCURRENCE GIVING RISE TO SUCH LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

The limitations and exclusions in this section apply even if Rockweed Labs has been advised of the possibility of such damages and regardless of whether a remedy fails of its essential purpose.

You agree to indemnify, defend, and hold harmless Crater Crash Studios, LLC d/b/a Rockweed Labs and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your use or misuse of the Premium Software
• Your violation of this EULA
• Your violation of any rights of another person or entity
• Your violation of any applicable laws or regulations

12.1. Termination by You: You may terminate this EULA at any time by canceling your Subscription and uninstalling the Premium Software from all Sites. Termination does not entitle you to a refund for any remaining subscription period.

12.2. Termination by Rockweed Labs: We may terminate this EULA immediately if you breach any provision of this EULA, including but not limited to exceeding installation limits, unauthorized distribution, or failure to pay subscription fees.

12.3. Effect of Termination: Upon termination of this EULA:

• Your License to use the Premium Software immediately terminates
• You must immediately cease all use of the Premium Software
• You must uninstall and delete all copies of the Premium Software from all Sites
• All rights granted to you under this EULA will immediately cease
• You will no longer receive updates or support

12.4. Survival: The following sections shall survive termination of this EULA: Intellectual Property Rights, Warranty Disclaimer, Limitation of Liability, Indemnification, and Governing Law.

We offer a 30-day money-back guarantee for first-time purchases of Premium Software. If you are not satisfied with your purchase, you may request a full refund within 30 days of your initial purchase date by contacting [email protected].

Refunds are not available for:

• Subscription renewals (only initial purchases)
• Requests made more than 30 days after purchase
• Accounts terminated for violation of this EULA

All refund requests are subject to verification and approval by Rockweed Labs.

The Premium Software may collect limited technical information for licensing verification, update delivery, and product improvement purposes. This may include:

• License key and activation status
• Site URL where the Premium Software is installed
• Premium Software version number
• Basic server environment information (PHP version, WordPress version, etc.)

We do not collect or store any personal data, user content, or sensitive information through the Premium Software. Our collection and use of data is governed by our Privacy Policy, available at rockweed.rocks/privacy-policy.

You acknowledge that the Premium Software may be subject to export control laws and regulations. You agree to comply with all applicable international and national laws that apply to the Premium Software, including the U.S. Export Administration Regulations, as well as end-user, end-use, and destination restrictions issued by U.S. and other governments.

This EULA shall be governed by and construed in accordance with the laws of the State of North Carolina, United States, without regard to its conflict of law provisions.

Any disputes arising out of or relating to this EULA or the Premium Software shall be subject to the exclusive jurisdiction of the state and federal courts located in North Carolina, United States. You hereby consent to the personal jurisdiction of such courts.

You waive any right to a jury trial in any proceeding arising out of or related to this EULA.

This EULA, together with our Terms and Conditions and Privacy Policy, constitutes the entire agreement between you and Rockweed Labs regarding the Premium Software and supersedes all prior or contemporaneous understandings and agreements, whether written or oral, regarding such subject matter.

If any provision of this EULA is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

We reserve the right to modify this EULA at any time. We will notify you of any material changes by updating the "Last updated" date at the top of this EULA and, where appropriate, by sending you an email notification.

Your continued use of the Premium Software after any such changes constitutes your acceptance of the new EULA. If you do not agree to the modified EULA, you must discontinue use of the Premium Software and cancel your Subscription.
